Overview
In this role you help enable private markets investments by providing practical legal guidance across primaries, secondaries and co-investments. You will work with Mercer Alternatives’ legal, tax and investment teams to close transactions efficiently while ensuring compliance with policy and regulatory requirements. You own the legal workstream, manage document execution, and coordinate with external counsel within scope and budget. You’ll translate complex terms into clear guidance for investment teams and contribute to ongoing internal initiatives. Responsibilities
- Provide legal support and clear advice on private markets transactions (primaries, secondaries, co-investments) including entity structures, feasibility and risk considerations
- Review and negotiate transaction documents with investment managers and their legal/tax advisors
- Own the legal workstream and sign off on final documents for execution
- Coordinate with Mercer’s external legal counsel and manage timely delivery within scope and budget
- Address legal questions arising from private equity fund investments, including tax and regulatory topics
- Maintain up-to-date legal knowledge to ensure policy and regulatory compliance
- Support the wider Legal and Compliance team on internal projects, processes, and improvements
Key requirements
- Experience in a law firm or legal department of an asset or fund manager with hands-on private markets transactions
- Strong understanding of closed-ended funds and common transaction structures
- Excellent organisational, drafting and negotiation skills
- Excellent communication skills with the ability to manage expectations
- Proactive and confident taking initiative and ownership of matters
