Senior Legal Counsel

Overview

As Senior Legal Counsel for Product & Commercial, you will be the primary legal partner to Darktrace’s Product, Engineering, and commercial teams. You will guide AI governance, responsible-AI principles, data privacy by design, and regulatory considerations for cybersecurity and AI products, while also handling complex SaaS and technology contracts. You’ll lead a small team and shape the legal framework underpinning a leading cybersecurity platform. This role blends product counseling with pragmatic contracting to enable fast, compliant product delivery.

Responsibilities

• Lead product and engineering legal advisement across the product lifecycle
• Advise on AI governance, responsible AI, and data privacy by design
• Draft and maintain product terms, EULAs, acceptable use policies, and public claims
• Review features, integrations, and GTM strategies for legal/regulatory risk
• Monitor regulatory developments (EU AI Act, UK AI frameworks, emerging US/EU AI legislation)
• Draft, review, and negotiate SaaS, MSAs, channel agreements, professional services, and NDAs
• Develop standard templates, playbooks, and clause libraries for consistency
• Collaborate with Sales, Customer Success, and GTM teams to balance risk and speed
• Manage and mentor 1–2 junior lawyers or paralegals
• Partner with Risk & Privacy on GDPR/global data privacy compliance
• Support Cambridge Research Centre on IP considerations for patents

Key requirements

• Qualified solicitor in England & Wales, barrister, or equivalent; J.D. with US bar also considered
• Extensive in-house experience advising on product-related legal matters
• Strong product counseling ability to translate technical/regulatory requirements into practical guidance
• Commercial contract drafting and negotiation experience with SaaS and technology agreements
• Judgment balancing legal risk with business objectives; bias toward enabling business
• Experience mentoring junior lawyers or legal staff
• Clear, concise communicator with senior stakeholders across time zones
• Familiarity with GDPR, CCPA/CPRA, and cybersecurity frameworks (NIST, SOC 2, ISO 27001)
• Direct experience with AI governance or AI ethics programs
