Overview

In this role you will lead governance for Superdry, ensuring compliance with the Companies Act 2006 and governance standards across the group and its international subsidiaries. You will partner with the Board and Executive Committee to drive best-practice governance, deliver timely board papers and minutes, and oversee statutory reporting and internal controls. The role combines regulatory accountability with collaboration across functions, including ESG and data compliance, to support a high-integrity, growth-focused business. This is an opportunity to shape governance in a large private group and contribute to Superdry’s sustainable, premium brand ambitions.

Responsibilities

  • Support Board and Committees with agendas, papers, minutes and reporting
  • Lead statutory reporting including Annual Report and Accounts and subsidiary accounts
  • Oversee governance policies, procedures and delegated authorities
  • Ensure timely UK filings and regulatory announcements for the group and subsidiaries
  • Manage whistleblowing helpline, data compliance and internal controls framework
  • Collaborate with sustainability team on ESG compliance
  • Maintain Gifts & Hospitality policy and corporate website governance
  • Engage with registrars, brokers and external stakeholders to address queries
  • Support governance across international subsidiaries and related regulatory requirements
  • Contribute to governance-related project management and board portal usage

Key requirements

  • ICSA qualified with strong knowledge of UK company law and governance in a large private company
  • Proven experience in management roles within a corporate secretariat or legal function
  • Ability to communicate complex concepts clearly to senior stakeholders
  • Strong written and oral communication skills with high integrity
  • Proven ability to influence across internal and external stakeholders at executive/director level
  • Experience with governance of international subsidiaries and external reporting
  • Familiarity with corporate secretariat systems and databases (e.g., Gems, board portals)
  • Ability to operate under pressure in a sensitive environment
  • Team player with mentoring ability for junior legal staff
