Overview

In this role, you will support iCapital’s expansion in EMEA as a legal lead for private funds, focusing on Luxembourg- and Cayman-domiciled vehicles. You will collaborate with the International Legal team and cross-functional groups to shape new fund structures and strategic initiatives. You will draft, review, and negotiate fund documents, offering materials, and related agreements while coordinating with outside counsel on regulatory and corporate matters. This role offers meaningful impact through shaping cross-border funds and facilitating growth in a fast-paced, high-growth environment.

Responsibilities

  • Draft and negotiate fund-related agreements with leading fund managers and distribution agents
  • Review private fund offering materials, partnership agreements, and related legal documentation
  • Coordinate with outside counsel on regulatory, corporate, and fund investment issues
  • Workshop and implement new fund structures and strategic initiatives as the company grows
  • Drive legal projects to on-time and on-budget completion

Key requirements

  • 2-3 years of fund formation experience in Investment Management (Private Equity and Hedge Funds)
  • Qualified in Luxembourg, UK, or NY Bar in good standing, or qualified elsewhere
  • Strong knowledge of Luxembourg corporate structures and regulatory matters
  • Knowledge of Investment Company Act of 1940, Investment Advisers Act of 1940, and Securities Act of 1933 is a plus
  • Knowledge of fund and cross-border regulations is a plus
  • Excellent interpersonal and communication skills
