Overview

In this Associate Director role within KPMG’s Transaction Services team, you will lead work streams on mid-sized engagements and contribute to larger, complex deals. You’ll provide price-structure advice, vet completion accounts and locked-box provisions, and support post-completion advisory on accounts and earn-outs. You’ll build and sustain client relationships while helping scale the practice and develop teams. Responsibilities

  • Lead work streams on medium engagements and contribute to larger, complex deals in dynamic environments
  • Provide price structuring advice and vet Sale and Purchase Agreement provisions (completion accounts, locked box, deferred consideration)
  • Deliver vendor assist services (e.g., preparing Locked Box papers)
  • Advise on post-completion issues including completion and earn-out accounts and commercial negotiations or disputes
  • Develop and maintain relationships with client management to support business growth
  • Take responsibility for scalable processes and initiatives within the practice
  • Identify and manage risks and ensure Firm frameworks are applied effectively
  • Support team development through coaching and skills transfer
  • Engage in career and skills development programs and model the Firm’s values

Key requirements

  • Experience of the transaction cycle/transaction services and supporting Mergers & Acquisitions
  • Knowledge of price adjustment mechanisms, locked box arrangements and earn-out provisions
  • Experience of financial due diligence and/or financial audit
  • Strong academic background and ACA qualified or equivalent
  • Strong personal impact, self-awareness, and communication skills
  • Excellent written and oral communication and presentation skills
  • Strong analytical skills for data interpretation and solution building
  • Proven ability to work effectively with client teams
