Overview

In this Manager role within KPMG’s Transaction Services, you lead work streams on mid-sized deals and contribute to larger, complex engagements. You provide price structuring advice and SPA vetting, including completion and locked box provisions, and advise on post-completion matters such as accounts and earn-outs. You’ll support business development and practice development while upholding risk management and coaching/team development. Responsibilities

  • Lead work streams on medium-sized engagements and contribute to larger, complex deals
  • Provide price structuring and SPA vetting services, including completion accounts, locked box provisions, and deferred consideration
  • Deliver vendor assist services (e.g., Locked Box papers)
  • Offer post-completion advice on completion and earn-out accounts and support commercial negotiation and dispute resolution
  • Develop client relationships with management teams for ongoing value creation
  • Drive practice development and scale key processes and initiatives
  • Identify and manage risks ensuring compliance with firm frameworks
  • Support people development through coaching and skills transfer
  • Engage in personal and career development within the firm’s framework and exemplify its values

Key requirements

  • Experience in the transaction cycle/transaction services supporting M&A
  • Understanding of price adjustment mechanisms, locked box arrangements, and earn-out provisions
  • Experience in financial due diligence and/or financial audit
  • ACA qualified or equivalent
  • Strong interpersonal impact and self-awareness
  • Excellent written and oral communication and presentation skills
  • Strong analytical skills for data interpretation and problem solving
  • Proven ability to work effectively with client teams
  • Ability to operate in high-performing, multi-disciplinary teams
