Overview
As Director, Senior Corporate Counsel at Vantage, you drive debt capital raising and related M&A and real estate matters to support rapid, cross-border data center development. You will partner with the SVP, Capital Markets and senior leaders to structure, negotiate and close financings, while ensuring regulatory and contractual compliance. You’ll shape risk, streamline processes, and act as a strategic advisor across finance, legal and operations. This role combines high-impact finance work with broad legal leadership in a fast-growing, no-ego culture.

Responsibilities
- Lead end-to-end debt financing transactions ( Leveraged Finance, Project Finance, securitisations ) from inception to closing with internal teams and external counsel
- Advise on financing structures for complex cross-border construction and securitisation financings and optimise negotiation positions
- Coordinate with Finance and Treasury to execute transactions and monitor compliance with financing terms
- Ensure ongoing borrower representations, warranties, covenants, and post-closing consent and notification requirements
- Manage external counsel and optimize legal fees; provide strategic legal input on business operations
- Implement and improve processes for borrower/project change notices and loan term compliance; standardise loan agreements
- Collaborate with Tax, Finance, Company Secretarial, Development and Power teams on restructurings impacting loan documents
- Advise on transfer, assignment and change of control issues related to financings during M&A
- Deliver high-quality legal services and risk management aligned with group-wide requirements across data center developments and operations
- Instruct outside counsel for jurisdiction-specific legal advice
- Handle additional duties as assigned by Management
Key requirements
- 8+ years of relevant legal experience in debt finance, preferably at a top-tier law firm
- In-house experience preferred but not essential
- Experience drafting and negotiating debt transaction documents (Leveraged Finance, Project Finance, Real Estate Finance)
- Strong executive presence and communication skills
- Collaborative, business-minded corporate and commercial lawyer
- Excellent interpersonal and stakeholder management abilities
- Ability to analyze complex concepts and respond to sensitive inquiries promptly
- Flexible, self-directed and able to work across time zones and functions
- Team player with strong organizational and problem-solving skills
