EMEA Corporate and Strategic Equities Legal Counsel – Vice President

Overview

In this VP-level role within Markets Legal, you will deliver expert legal and regulatory support across complex equity derivatives and margin loan transactions, working with cross-functional teams to mitigate risk and enable strategic client solutions. You’ll draft, review, and negotiate sophisticated documentation, advise on regulatory changes, and liaise with global colleagues to support cross-border deals. You’ll contribute to a high-caliber, collaborative team focused on operational excellence and risk management. This position offers exposure to a broad range of equity products and bespoke structures within a leading financial institution.

Responsibilities

• Provide end-to-end legal and regulatory support from inception to close, including drafting and negotiating complex transaction documents
• Advise on strategic equity derivatives and LMA-based margin loan facilities, including security over underlying shares
• Identify, analyse, and mitigate legal and regulatory risks in corporate and strategic equities transactions
• Coordinate with legal colleagues in other jurisdictions and collaborate with Compliance and risk/control functions
• Drive regulatory updates, process improvements, and efficiency across coverage areas with a focus on legal operational excellence

Key requirements

• Qualified lawyer with 4+ years’ post-qualification experience
• Licensed to practise law in England & Wales or a similar jurisdiction
• Experience in derivatives and excellent drafting skills
• Familiarity with ISDA documentation for OTC equity derivatives
• Ability to analyse complex structures with sound risk management and judgment
• Strong organisational and communication skills in a fast-paced environment
• Knowledge of UK and EU laws and regulations governing equity derivatives and significant shareholdings
• Strong collaboration skills and ability to work independently and in a team
