Overview
As Contract Lawyer at Carta Law, you will independently negotiate high volumes of pre-M&A contracts and serve as the primary contact for sophisticated fund and asset manager clients. You’ll support the firm’s AI-native approach to legal services, driving speed and consistency in negotiations. You work closely with cross-functional teams to maintain playbooks and improve the legal tech stack. This role offers a chance to shape pre-M&A workflows within a fast-paced, high-caliber practice. Responsibilities
- Negotiate and execute high volumes of pre-M&A contracts (NDAs, NRLs, joinders, engagement letters) with counterparties under SLAs
- Act as the primary day-to-day contact for sophisticated investment fund and asset manager clients
- Develop and evolve client-specific contract playbooks to ensure consistency and quality
- Mentor junior lawyers and paralegals, and contribute to a high-performing team culture
- Utilize and improve Carta’s legal tech suite (Carta Ava, HighQ) to enhance speed and consistency
- Manage the full contract lifecycle from initial review to execution and logging in the system
Key requirements
- Licensed to practise law in the UK, Europe, US, or Canada with 3+ PQE
- Proven track record negotiating pre-M&A contracts in a financial services environment
- Trusted advisor with ability to build lasting relationships with fund and asset manager clients
- Commercially minded with ability to balance risk and business objectives
- Tech-forward with experience using AI-backed contract review tools and CLM/e-signature systems
