Overview
As Chief Legal Officer, you will lead Prytek’s legal function, advising the Founder, senior management, and investment teams. You will steer complex M&A, cross-border investments, and corporate structuring while overseeing governance, compliance, risk, and hands-on legal support across an international portfolio. You’ll manage external counsel, regulatory matters, and fundraising efforts to enable rapid, compliant growth. This role places you at the heart of strategic transactions and corporate activity in a fast-paced, global tech group.
Responsibilities
- Lead legal execution of M&A and investment transactions: due diligence, structuring, term sheets, SPA/SHA, and closing
- Structure holding and investment vehicles (including fund/SPV structures), accounting for cross-jurisdictional and tax considerations
- Oversee corporate governance for the Group and portfolio companies: boards, corporate policies, cap tables, and option plans (ESOP)
- Manage external legal counsel across jurisdictions and control the legal spend budget
- Handle commercial contracts: partnerships, suppliers
- Own compliance and regulatory matters (including financial licensing, GDPR/data protection, and AML where applicable)
- Manage risk, disputes, and litigation
- Support fundraising and act as the legal point of contact for investors
Key requirements
- Qualified lawyer with current practising certificate in England & Wales
- Extensive post-qualification experience with a proven track record leading complex M&A and advising executive leadership
- Proven cross-border transaction experience within an international structure
- Strong deal-structuring and corporate law expertise
- Fluent English; Hebrew is a plus
- Ability to work at pace and independently manage multiple concurrent transactions
