Legal Counsel (UK) at Nexcess

Nexcess (Servers.com), a provider of Infrastructure as a Service solutions, is seeking an experienced Legal Counsel to join their legal team in Guildford, UK. The role involves serving as a trusted advisor to senior leadership, managing legal, commercial, and compliance risks with a focus on contract negotiation and corporate governance across global operations.

Key Eligibility Criteria

  • Education: Bachelor’s degree or higher in Law (LL.B., LL.M., or equivalent).
  • Experience: Minimum 5-7 years of post-qualification legal experience.
  • Expertise: Strong expertise in corporate and commercial law, contract drafting/reviewing, corporate governance, compliance, and employment law.
  • Jurisdictional Knowledge: Main experience with US/UK and other EU legal frameworks; strong expertise in GDPR and EU privacy laws.

Responsibilities & Scope of Work

  • Commercial Contracts: Draft, review, and negotiate complex agreements (T&Cs, consulting, marketing, lease, intra-group, employment, vendor, customer); manage full contract lifecycle.
  • Employment & Labour: Advise on hiring, terminations, and restructurings.
  • Risk & Compliance: Identify and mitigate risks in data privacy, security, employment, anti-bribery, and AI.
  • Corporate Governance: Support litigation, M&A, due diligence, and statutory filings for global group entities.
  • Policy & Operations: Create and maintain internal policies on data retention, surveillance, employment, AI, and privacy.
  • External Counsel Management: Coordinate and oversee external legal counsel.

Compensation & Location

  • Location: Guildford office (2000, Cathedral Square, Cathedral Hill, Guildford GU2 7YL, UK).
  • Work Arrangement: Hybrid (3 days in office, 2 days working from home).
  • Hours: 40 hours per week (9am to 6pm, including one hour unpaid break).
