Legal Counsel, Schroders Capital Private Equity

Overview

As Legal Counsel for Schroders Capital Private Equity, you will manage the legal aspects of fund and product structuring, investment processes and related contractual matters. You will coordinate with product, tax, compliance and risk teams to shape fund terms, draft key documents, and oversee negotiations and due diligence with external counsel. This role supports global private equity activities and requires close collaboration with various internal and external stakeholders. You will help ensure governance, regulatory alignment and efficient lifecycle management of funds, contributing to Schroders’ private markets strategy.

Responsibilities

• Project manage legal workstreams for new funds and mandates
• Draft and review key fund documentation (LPA, PPM, IMA, side letters)
• Lead internal legal reviews of fund documents and investor negotiations
• Oversee external counsel for due diligence and investor consents
• Coordinate with Compliance, Risk, Client Group, Fund Operations and Finance
• Support fund life cycle management and product committee queries
• Draft ancillary agreements and maintain cross-functional collaboration across Schroders Capital and wider group
• Act as global legal stakeholder for Private Equity business

Key requirements

• PQE 2–4 years in private equity / private assets funds team in a leading City or international law firm or in-house
• Technical understanding of private equity funds including Luxembourg structures
• Working knowledge of AIFMD, SFDR, SDR
