Assistant General Counsel – Funds Legal Team

Overview

As Assistant General Counsel in Barings’ European Funds Team, you advise on the establishment and ongoing operation of European investment funds and related regulatory matters from London. You collaborate with Legal, Product Management, and Investment Teams to deliver compliant, timely solutions. You will lead legal aspects of new fund launches, negotiate documentation, and manage external counsel. The role blends advisory rigor with cross-functional scope to support Barings’ funds platform and investor activities.

Responsibilities

• Provide pragmatic legal advice on establishment, structuring and ongoing operation of Barings investment funds across Luxembourg, Irish and UK platforms with regulatory considerations
• Build strong working relationships with business teams as a trusted, solutions-focused advisor
• Manage relationships with external counsel for high-quality, timely, cost-effective input
• Lead legal aspects of new fund launches and related projects, including drafting and negotiating fund documentation and supporting investor discussions
• Review and negotiate fund documentation across various fund structures and asset classes (private credit, real estate debt and equity, portfolio finance, public fixed income)
• Act as escalation point for complex legal issues and collaborate to manage legal, regulatory and risk considerations
• Assist with distribution and marketing queries across institutional and wealth markets
• Contribute to development and improvement of team processes and ways of working for efficient legal delivery

Key requirements

• 3–6 years’ post-qualification experience in funds or investment management (private practice and/or in-house)
• Strong fund formation experience
• Qualification in England and Wales, Ireland or Luxembourg preferred; others considered
• Good working knowledge of European fund structures and regulation (AIFMD and UCITS)
• Experience drafting and negotiating fund documentation (offering documents, limited partnership agreements, investor side letters)
• Strong interpersonal and communication skills with stakeholders across levels and functions
• Strong organisational skills with ability to manage competing priorities
• Collaborative and adaptable mindset, willingness to develop expertise and support the team during regulatory and business change
