Overview

In this Manager role within Deloitte’s SPA team, you will lead high-profile M&A work, shaping contractual solutions in fast-paced deals. You’ll collaborate with due diligence and tax teams to address financial and commercial issues and advise on completion accounts and price adjustment mechanisms. You’ll act as a key client contact, delivering robust recommendations and managing project delivery across multiple transactions. Responsibilities

  • Develop understanding of target business and drivers to inform advisory approach
  • Collaborate with due diligence teams to identify risk areas
  • Review transaction documents to pinpoint issues, assess pricing mechanisms (lockbox, completion accounts, earn-out) and related accounting definitions
  • Evaluate financial warranties and indemnities, and craft robust completion accounts policies
  • Co-develop client recommendations with Partner/Director
  • Communicate key issues and deliver actionable recommendations to clients
  • Drive transactions forward and serve as primary client contact for clients and M&A lawyers
  • Project manage assignments, interface with clients, manage risk and costs
  • Produce high-quality deliverables within deadlines; brief Partner/Director
  • Lead marketing and business development activities (client presentations, account management, industry/geography/product programs)
