Overview

In this role you will lead and strengthen governance across a complex, international network. You will advise on constitutional and procedural matters, manage electorates and appointments, and act as secretary for key committees while driving improvements to governance frameworks. You’ll work closely with the Chief Executive, Board and external advisers to ensure transparent, compliant governance. The position offers leadership exposure, cross‑jurisdictional exposure, and a meaningful impact on governance practice.

Responsibilities

  • Provide impartial advice on constitutional, procedural and governance matters
  • Manage annual Board and Council elections, officer appointments and selection processes
  • Act as Secretary and governance lead for key committees and panels
  • Support delivery of Board, Council, AGM, EGM and committee meetings
  • Maintain and improve governance frameworks, policies and constitutional documents
  • Ensure accurate governance records (conflicts of interest, tenure, appointments, decision trails)
  • Monitor governance risks and advise senior stakeholders on actions
  • Support Board induction, engagement, succession planning and performance reviews
  • Manage relationships with external governance and legal advisers
  • Drive continuous improvement across governance documentation, systems, reporting and processes
  • Manage and develop the Governance and Committee Executive

Key requirements

  • At least five years’ experience managing a governance function within a complex organisation
  • Experience in a membership organisation or professional body, ideally international or multi-jurisdictional
  • Strong experience advising Boards, Chairs and senior executives on governance matters
  • Experience interpreting constitutional, legal, policy and procedural requirements
  • Hands-on experience with elections, appointments or committee recruitment
  • Strong board and committee skills (papers, minutes, decision records)
  • Experience supporting Company Secretary requirements and statutory compliance
  • Previous line management experience
  • Corporate governance qualification (advantageous)
