Overview
As Governance Manager, you will support the Board of Trustees, Chief Executive and Executive Leadership Team to uphold a robust governance framework. You enable effective decision-making, accountability and delivery of NSPCC’s strategic objectives. You’ll manage governance processes, ensure regulatory compliance, and drive continuous improvement in governance practices. This role offers the chance to shape governance standards within a mission-driven charity that safeguards children.

Responsibilities
- Provide governance advice to Board, Committees and ELT to enable agile decision-making
- Manage the annual governance cycle (meetings, agendas, papers, minutes, action tracking) and oversee day-to-day committee operations
- Support trustee recruitment, induction, development and Board effectiveness activities
- Coordinate governance-related projects and change initiatives to improve processes and efficiency
- Ensure high quality record-keeping and compliance with governance policies and regulatory reporting
- Build relationships with key stakeholders and deliver governance training where needed
- Support regulatory reporting and returns (Charity Commission, OSCR, Companies House) and manage Trustees Annual Report and Accounts
- Champion high governance and compliance standards across the organization
Key requirements
- Significant governance / company secretariat experience
- Experience supporting Boards, Committees and Executive Leadership Teams
- Strong knowledge of governance frameworks and compliance in regulated, charity or public sector environment
- Experience with risk management and assurance processes
- Excellent written communication and minute-taking skills
- Strong organisational and project management abilities
