Equity Incentives Associate- US Law Firm

Overview

In this role you will provide transactional and advisory support on equity incentives for a range of clients, including private/public companies, PE/VC holds, and startups. You’ll work within a US law firm environment on cross-border matters and complex incentive schemes. You’ll contribute to deals and ongoing advisory work, shaping how incentives align with growth strategies. This is a dynamic, growth‑oriented opportunity at a top-tier firm with clear paths for progression.

Responsibilities

• Provide transactional and advisory equity incentives support across clients including private/public companies, PE/VC, and startups
• Handle transactional work on M&A, IPOs/liquidity events, and restructurings
• Draft agreements and equity plans
• Support VC funding rounds
• Work with UK tax advantaged and unapproved option schemes and growth shares
• Provide ongoing advisory work to multinationals and privately owned companies

Key requirements

• 1-2 PQE England & Wales qualified solicitor
• At least 1 year UK experience specialising in equity incentives at a US, Magic Circle, or Top 20 City law firm
