Corporate & Investment Bank Legal (M&A) Lawyer – Assistant Vice President / Vice President

Overview

In this role you support the EMEA M&A business within the Legal Practice Group, advising on a range of advisory and governance matters. You will work closely with bankers and client executives on M&A transactions, including documenting and negotiating engagement terms and confidentiality agreements. You’ll participate in committees reviewing valuations and fairness opinions and coordinate with other CIB legal teams and external counsel. The role emphasizes cross-border deal execution and legal risk management in a global investment banking context. This is a hands-on position in a high‑performing, diverse environment.

Responsibilities

• provide general counsel and support across diverse issues for the business
• review, advise on, and negotiate M&A advisory documentation and related conflicts management
• attend business review and valuation/fairness opinion committees as M&A Legal representative
• coordinate with other CIB Legal teams and external counsel as needed

Key requirements

• commercially minded self-starter with ability to operate at all organizational levels
• practical knowledge of the UK Takeover Code and UKLA Listing Rules/sponsor requirements in M&A
• domestic and cross-border deal execution experience from a Magic or Silver Circle firm
• ability to work under pressure and meet tight deadlines
• preferred: in-house M&A/Corporate experience at a bulge bracket investment bank (advantage but not essential)
