Overview
As a US-qualified Capital Markets Associate in London, you will join a transatlantic ECM platform working with multi-jurisdictional teams to advise on complex equity offerings for European and emerging markets issuers. You will handle IPOs, placings, rights issues, secondary offerings and other listed financings, drafting and negotiating key documents while ensuring regulatory compliance. You will collaborate with debt, banking and M&A colleagues and manage cross-border client relationships. This role offers exposure to high-profile transactions and a strong mentoring program within a global, hybrid firm culture.

Responsibilities
- Advise on a broad range of ECM transactions: IPOs, placings, rights issues, secondary offerings, and other listed financings
- Support transactions in coordination with debt, banking, and M&A teams
- Draft, review and negotiate transaction documentation
- Provide guidance on regulatory compliance, governance, and market practice in ECM
- Deliver strategic, commercially focused legal advice to issuers and stakeholders
- Develop and manage cross-border client relationships
- Collaborate with international teams to ensure seamless execution across jurisdictions
- Contribute to transaction structuring and execution for European and emerging markets issuers
- Participate in the full lifecycle of high-profile capital markets transactions
Key requirements
- Approximately 2–4 years’ post-qualification experience as a US-qualified lawyer
- Strong ECM experience at a top-tier US law firm
- Experience advising on ECM transactions for European and/or emerging markets issuers
- Excellent drafting and written communication skills
- Strong technical understanding of ECM products and structures
- Initiative and ability to work in fast-paced, cross-border environments
- Strong client service orientation with commercial awareness
- Ability to collaborate across multiple jurisdictions and practice groups
