Legal Counsel – Direct Lending

Overview

As Legal Counsel embedded in Investec Bank plc’s Direct Lending team, you structure, negotiate and finalize transaction documents for mid-market lending. You review due diligence, assess legal risks and ensure documentation aligns with the bank’s risk appetite and policies. You’ll coordinate execution, manage external counsel and foster strong stakeholder relationships to deliver financing solutions. The role combines hands-on drafting with strategic risk management in a collaborative, agile culture. This is a chance to shape lending structures and support growth across UK/Europe clients.

Responsibilities

• Prepare, negotiate and execute all transaction documents for Direct Lending (term sheets, facility agreements, security documents, etc.)
• Review due diligence reports and identify mitigations
• Structure transactions and document credit/investment proposals
• Coordinate transaction execution process
• Ensure legal documents align with transaction risk appetite and internal policies
• Manage external counsel and maintain relationships with clients, lenders and internal teams
• Review and negotiate NDAs and release letters

Key requirements

• Qualified lawyer with 2-4 years PQE in banking and finance at a leading UK or US law firm
• Experience drafting and negotiating banking and finance documents, including LMA-based documents
• Strong organisational and prioritisation skills with ability to handle multiple demands
• Resilience under pressure and ability to assess legal risks
• Ability to flag regulatory/compliance issues and liaise with internal contacts
• Interest in broader commercial/Direct Lending knowledge and cross-functional collaboration
