Overview
As a Newly Qualified Solicitor in Fieldfisher’s Equity Incentives and Employee Ownership team, you will advise on the legal and tax aspects of employee share plans and assist with EO transitions. You’ll support corporate work, including M&A and IPO-related incentives, with international elements. You will work in a Tier 1, collaborative environment with clear career progression and direct client contact. This role offers exposure to challenging, award-winning work in a market-leading practice focused on employee ownership and incentives.

Responsibilities
- Advising on the legal and tax aspects of employee share plans (e.g., EMI, CSOP, growth shares, bespoke arrangements)
- Advising on conversions to EOT ownership and governance for bonus plans
- Supporting transactional work (M&A and investment rounds) with emphasis on equity incentives due diligence and documentation
- Drafting plan rules, option agreements, trust deeds, shareholder resolutions, and board minutes
- Conducting legal research and preparing client briefings and internal know-how
- Assisting with business development (e.g., writing posts for social media)
Key requirements
- Qualified Solicitor in England & Wales (NQ level)
- Completion of a training seat in incentives/benefits (or equivalent), tax or corporate is essential
- Strong academic background
- Genuine interest in employee incentives and share valuations; willingness to develop technical expertise
- Ability to work collaboratively in a team and manage tasks independently
