Overview
In this role you will support Hines’ European business as a seasoned lawyer focused on structuring, negotiating and managing joint ventures and investment agreements. You’ll work with cross-functional teams and coordinate with external counsel across multiple European jurisdictions, shaping governance, investment structures and commercial outcomes. You will provide practical legal input throughout the lifecycle of European joint ventures and investments, balancing risk with business objectives. Responsibilities
- Advise on formation, structuring and operation of European joint ventures with investment partners
- Draft, review and negotiate shareholders’ agreements, JV agreements, investment agreements, limited partnership agreements, articles and side letters
- Support negotiation of equity commitments, shareholder funding, preferred equity and other investment structures
- Provide governance advice on reserved matters, decision rights, deadlock provisions, transfer restrictions and exit arrangements
- Draft and negotiate management and service agreements (asset management, development management, etc.)
- Coordinate and oversee external counsel across European jurisdictions to ensure commercially focused advice
- Contribute to transaction structuring, investment committee materials and deal execution
- Advise on amendments, waivers, consents during JV operations
- Support dispute management between JV partners as needed
- Identify legal and contractual risks and propose pragmatic risk-balanced solutions
- Develop and maintain precedent documentation and improve legal processes for European investments and JVs
- Build strong relationships with senior stakeholders and act as trusted adviser to European business
Key requirements
- Qualified lawyer licensed to practice in the UK or another European jurisdiction
- Minimum 5 years’ post-qualification experience at a major law firm with real estate JV, corporate transactions and investment documentation experience
- Excellent corporate and deal execution capabilities
- Strong organizational, problem‑solving and independent working skills
- Rigorous, detail‑oriented with good people skills and ability to work in a multi-disciplinary team
- Excellent oral and written communications, able to advise senior executives
- Fluent in English; second language a plus
