Private Equity Funds and Transactional Lawyer

Overview

In this role you will lead legal coverage for real assets within MSIM Private Markets, guiding real estate and infrastructure transactions and advising portfolio teams. You will support fund structuring, launches, and regulatory considerations while partnering with cross-functional investment teams. The position emphasizes risk management, governance, and execution across private markets. You’ll work in the EMEA Legal and Compliance team to enable growth of real assets and broader MSIM initiatives.

Responsibilities

• Lead legal coverage for real estate and infrastructure transactions (private M&A, public takeovers, restructurings, refinancings, JVs)
• Act as primary legal adviser to portfolio management and transaction teams on asset management matters in real assets
• Advise on issues affecting portfolio investments, including sector regulation, financing, tax structures, financial crime, governance, and dispute resolution
• Support structuring and launch of private market investment products (private equity funds, closed-ended vehicles, hybrids, bespoke solutions)
• Advise on fund distribution activities and onboarding of new investors
• Provide day-to-day legal support for operation and maintenance of funds, including service providers like administrators and depositaries
• Assess impact of new legal/regulatory developments and advise on implementation across the investment management platform

Key requirements

• 6+ years PQE in a US or UK major law firm and/or in-house at a buy-side regulated financial institution or investment fund
• Experience representing private investment funds and companies in M&A control-transactions, take-privates, minority investments and JVs
• Experience in real estate and/or infrastructure investments
• Knowledge of funds governance (including AIFMD) and investment management agreements
• Experience advising on complex commercial contracts with clients, distributors or agents in asset management
• Affinity with financial services regulation (MiFID, AIFMD, SFDR) and US regulation (Volcker Rule)
