Overview
In this role you will advise on and draft corporate documents, lead smaller M&A transactions, and support larger deals within a London-based corporate practice. You will contribute to employee ownership trust (EOT) work and provide general Company Law guidance, working closely with clients and the broader team. The position offers hands-on responsibility in a smaller firm setting and opportunities to grow the practice. You will play a pivotal part in delivering high-quality matters and building client relationships, shaping the firm’s corporate offering.
Responsibilities
- Advise on and draft articles of association, shareholders’ and investment agreements, partnership agreements, share option agreements (including EMI), client terms and board/shareholder resolutions
- Provide general Company law and Companies Act advice
- Lead smaller M&A transactions and assist with larger ones (SPAs, loan/facility/security documents, due diligence, transaction bibles)
- Take a prominent role in Employee Ownership Trust (EOT) transactions as part of the EOT team
- Manage own caseload and deal directly with clients
- Build and maintain strong client relationships
- Work across the wider Corporate team and support other practice areas as needed
- As a smaller firm, operate in a hands-on, autonomous manner from the outset
- Contribute to growth and development of the corporate practice
Key requirements
- Minimum of 4 years PQE
- Experience in corporate/M&A and commercial matters
- Ability to manage own caseload and interact directly with clients
- UK-qualified solicitor with knowledge of Companies Act and related practice areas
