Overview

In this role, you will lead governance for Vodafone Investments, ensuring strong board oversight, regulatory compliance, and risk management across a global portfolio of investments and joint ventures. You will act as a trusted adviser to senior leaders and boards, shaping governance frameworks and providing company secretarial support where needed. You will partner with Legal, Risk and Internal Audit to strengthen controls, and you will guide board induction, material reviews, and director appointments across multiple jurisdictions. This is a cross-functional, leadership-heavy role that shapes governance outcomes in a complex, evolving environment.

Responsibilities

  • Lead and enhance governance frameworks across Vodafone Investments and advise on governance best practices and director duties
  • Support boards and committees with meeting management, governance documentation and approvals; act as Company Secretary for selected entities
  • Support governance across Vodafone’s JV and investment portfolio; train and advise board-appointed directors; review board materials and provide governance briefings; manage director appointments and ownership changes
  • Partner with Legal, Risk, Compliance and Internal Audit to strengthen risk and control frameworks; support governance, compliance and risk programmes across the division
  • Build and maintain relationships with Executive Committee members, directors and senior executives; provide governance briefings and inductions; collaborate across jurisdictions to drive governance outcomes

Key requirements

  • Significant Company Secretary experience within a FTSE-listed organisation or large multinational
  • Extensive experience supporting boards, committees and senior leadership teams
  • Experience within complex international governance structures
  • Experience supporting joint ventures, investments and multi-jurisdictional entities
  • Proven ability to influence senior stakeholders and directors
  • Experience leading governance transformation and improvement initiatives
  • Expert knowledge of UK corporate governance and the Companies Act 2006
  • Knowledge of risk management, governance and assurance frameworks
  • Experience supporting M&A transactions and corporate restructurings
  • Familiarity with governance platforms including Diligent Entities
  • Commercially minded, proactive, solutions-focused with strong stakeholder management and judgement
  • Excellent written and verbal communication; fluent English; tech/telco industry interest preferred
