Weare seeking an exceptional individual to join us as an Associate Non-ExecutiveMember for Audit and Governance, working in a joint role across two statutoryBoards.

Thisis an exciting opportunity to contribute to the Board-level leadership andgovernance of two Integrated Care Boards (ICBs), working together to commissionhealthcare services for the populations of Coventry, Herefordshire,Warwickshire and Worcestershire with a view to improving health outcomes, reducinginequalities and ensuring the effective stewardship of public resources. TheAssociate Non-Executive Member will support robust governance and assurancethrough membership of the two Audit Committees working in common and attendanceat Board meetings and development sessions.

Main duties of the job

Weare looking for a senior leader with significant experience of financial andcorporate governance in a large and complex organisation, ideally within an NHSor public sector environment. You will have a strong understanding ofaudit committee practices, risk management and corporate governance, togetherwith the confidence to provide constructive challenge and independent scrutiny.A finance qualification and previous non-executive experience would be anadvantage

As an Associate Board member we offer:

  • Remuneration: £12,000 per annum.
  • Time commitment: Approximately three days per month.
  • Term of office: Two years.

Job responsibilities

The Associate NEM acts as a member of the ICBs Audit Committees which meet incommon and may undertake roles on other committees or sub-committees of theICBs. They are expected to attend meetings of the Boards and Board developmentsessions.

The AssociateNEM will:

Work collaboratively to shape thelong-term, viable plan for the delivery of the functions, duties and objectivesof the ICBs and the ICB cluster and for the stewardship of public money.

Ensurethat Committees are effective in all aspects and are appropriately focused on the fourcore purposes, to:

  • improveoutcomes in population health and healthcare;
  • tackleinequalities in outcomes, experience and access;
  • enhanceproductivity and value for money; and
  • helpthe NHS support broader social and economic development.

Be champions of the ICB resetagenda which is focused on shift to strategic commissioning and PopulationHealth Management.

Bringindependent and respectful challenge to the plans, aims and priorities of thecluster as well as individual ICBs.

Promoteopen and transparent decision-making that facilitates consensus aimed todeliver exceptional outcomes for the population.

Help ensure that the ICBs are compliantwith their constitutions and contractual obligations, holding other members ofthe ICBs to account through constructive, independent, and respectfulchallenge.

Maintain oversight of the delivery ofICBs and clusters plans, ensuring expected outcomes are delivered in a timelymanner through the proportionate management of risks.

Support the ICBs to deliver theirfunctions in line with all of their statutory duties, and thatcompliance with the expected standards of the regulatory bodies is maintained.

Accountability

TheAssociate NEM will:

Beaccountable to the ICB Chair.

Havedesignated areas of responsibilities as agreed with the ICB Chair.

Supportthe ICBsto ensure corporate accountability for the performance of the cluster, ensuringits functions, along with those of each individual ICB, are effectively andefficiently discharged and financial obligations are met.

Role Responsibilities & Competencies

The AssociateNEM will work alongside the Chair,Non-Executives and Executives in:

  • Delivering governance and oversightthrough membership of committee(s) of the ICBs.
  • Bringing independent and respectfulchallenge to the plans, aims and priorities of the ICBs.

They will bring a range ofprofessional expertise as well as community understanding and lived experienceto the work of the Committees.

Timecommitment

There is considerable flexibilitywith regards to undertaking these roles. On average, the anticipated time commitment is minimum 3days a month, including preparation time, the occasional evening engagement andevents designed to support Boardmembers continuous development. Wednesdayis the day when most formal meetings will be held so applicants must beavailable to attend meetings on this day.

Travel

Vastmajority of Board and committee meetings will be held online. Board developmentsessions and some other ad hoc meetings and events will be held in personsomewhere within the cluster area.

Termof office

Theterm of office will be 2 years initially; however, this may be shorter due tochanges resulting from the potential merger and/or legislative changes.

Remuneration

Thebasic remuneration for this post will be £12,000 with pa. The NEM Appointmentsand Remuneration panel may decide to award supplementary payments foradditional responsibilities. Such responsibilities will be determinedpost-appointment.
