Legal Counsel, Corporate and M&A

Overview

As Legal Counsel, Corporate and M&A, you support Entain’s corporate and strategic deals in a fast-paced, global environment. You work with the Corporate legal team to structure transactions, manage documentation, and advise the board on risks and implications. You collaborate across internal stakeholders and external counsel to keep initiatives on track, including reorganisations and financing arrangements. This role offers impact on large acquisitions, JV activity, and company-wide governance within a dynamic entertainment group.

Responsibilities

• Assist with executing transactions across the capital structure, including acquisitions, disposals, Joint Ventures, and other strategic corporate transactions
• Lead ancillary transaction and corporate documentation (NDAs, engagement letters) and coordinate with external counsel
• Support preparation of internal papers summarising proposed transactions and associated risks for board review
• Support business on other corporate initiatives (group reorganisations, restructurings, intragroup financing)
• Help develop policies and processes to support the Corporate Legal function

Key requirements

• 3+ years PQE in corporate law, with a focus on M&A
• Excellent understanding of corporate governance principles
• Strong negotiation skills and experience drafting complex legal agreements
• Ability to work collaboratively and communicate effectively with internal and external stakeholders
• Experience in a corporate legal department or reputable law firm
• Familiarity with industry-specific regulations and compliance requirements
