Director, Transation Advisory Services | Corporate Finance

Overview

As a Director in Transaction Services, you drive financial due diligence and value-focused analysis for buy- and sell-side engagements across markets. You will lead mid-size complex projects or significant sections of large engagements, coordinating with clients, banks, lawyers, and other parties. You mentor junior staff and develop client relationships to identify opportunities and shape deal outcomes. This role combines technical diligence with strategic advisory, within a collaborative, cross-functional team.

Responsibilities

• Lead delivery of mid-size complex FDD projects (or sections of larger engagements) with direct Partner oversight
• Analyse and model past and projected financial performance of targets
• Communicate key issues clearly to clients and stakeholders
• Collaborate with M&A bankers, lawyers, insurers, and financing providers on diligence impact
• Supervise and mentor Senior Consultants and Consultants, reviewing analysis and outputs
• Identify value drivers, SPA price adjustments, and deal-breakers
• Prepare Equity Bridge and related price adjustments
• Develop new business through client interactions and market insights
• Maintain strong internal and external relationships
• Communicate effectively with seniors and clients

Key requirements

• Significant transaction services consulting experience, preferably within a Big 4 firm
• Experience in PE or venture fund deals > $100m
• Proven track record leading large, multi-geography transactions and presenting findings to senior stakeholders
• Experience negotiating with lawyers and investment bankers across EMEA and globally
• Strong leadership and mentoring experience
• Private equity experience (preferred)
• European languages (preferred)
• ACA, MBA or MBA equivalent
• 2:1 degree (numeric subject)
• Due diligence, market entry, financial restructuring, and business plan validation experience
