Overview

In this Manager role within EY’s Transaction Forensics SPA team, you’ll guide M&A pricing and post-deal accounting aspects, working with clients, bankers, and legal advisers to support SPA negotiations. You’ll deliver high-quality analyses on price adjustments, completion accounts, and leakage reviews while managing engagements to budget and schedule. You’ll coach junior colleagues and help expand the engagement pipeline through strong client relationships. This role combines technical depth with commercial insight in a dynamic, high-stakes environment.

Responsibilities

• Lead and deliver advice on M&A price adjustment mechanisms, including cash, debt, and working capital adjustments
• Analyze SPA financials, prepare pricing schedules, and review Completion Accounts
• Perform leakage reviews and support client readiness for post-deal accounting
• Manage Transaction Forensics engagements per agreed timelines and budgets
• Adhere to Quality and Risk Management standards to ensure compliant work
• Provide deal-relevant points of view and recommendations leveraging technical and commercial expertise
• Build and maintain relationships with internal and external stakeholders to support engagement pipeline
• Coach and develop junior colleagues throughout the year

Key requirements

• Fully qualified chartered accountant (ACA/ACCA/CA/ICAS/ICAEW or international equivalent
• Experience coordinating M&A transactions in a managerial capacity
• Expertise in financial information analysis, modelling, and scenario testing
• Project management and people management experience
