Legal Counsel
Application Deadline: 30 October 2026
Department: Legal & Compliance
Employment Type: Permanent – Full Time
Location: London
Reporting To: COFO
Description
This is Restrata’s first in-house legal hire. You will own the legal function day to day, working directly with the Chief Operating & Financial Officer and alongside the executive team.
The role exists because we are moving up the value chain. We now negotiate directly with the procurement and legal functions of global enterprises. That demands a qualified, commercially minded lawyer inside the business rather than fragmented external instruction, and it creates an unusual amount of scope and ownership for someone at this stage of their career.
You will not be doing this alone. The role sits alongside a dedicated external counsel relationship providing partner-led escalation, specialist coverage and AI-enabled contract workflows. You own the first line and the day-to-day. External counsel is there for genuine specialism and for the moments where seniority is needed.
Key Responsibilities
Commercial contracting
- Customer agreements: MSAs, order forms, SOWs, DPAs, and enterprise procurement paper
- Partner, reseller and supplier agreements
- NDAs and RFP, ITT and tender documentation
- Direct negotiation with enterprise counterparties, supported by the CRO and commercial team
Contract infrastructure
- Own and improve Restrata’s contract stack: templates, fallback positions and clause library
- Build and maintain a sales legal handbook, so the commercial team self-serves within defined boundaries
- Own the contract lifecycle process and the approval matrix
Employment and people
- Employment contracts, consultancy agreements and policy across multiple jurisdictions
- Advising the People function on day-to-day matters, with external specialist support on disputes and non-UK jurisdictions
Governance, data and IP
- Corporate governance support: board and shareholder documentation, subsidiary administration, investor consents
- Data protection: supporting the data protection function, maintaining records of processing, running DPIAs and handling data subject requests, with external privacy counsel retained for complex matters and regulatory engagement
- IP protection and management, working with external attorneys
- Property, insurance and general corporate matters
Deal and exit readiness
- Maintain a legal due diligence database and bring contract hygiene to institutional standard
- Support corporate transactions and investor processes alongside external counsel
Skills, Knowledge & Expertise
Essential
- Qualified solicitor, England and Wales, with circa 3 years PQE
- Trained and developed at a well-regarded commercial firm, or equivalent in-house experience
- Strong commercial contracting background, ideally including SaaS or technology agreements
- Demonstrably commercial: you find the route to yes and you are clear about where the line is
- Comfortable operating as the only lawyer in the room and making a call
- Sound judgement about what you handle and what you escape
Desirable
- Exposure to in-house, scale-up or SaaS environments
- Data protection experience, or the appetite to develop it with external support
- Experience of enterprise procurement negotiation
- Multi-jurisdictional exposure, particularly US or Middle East
- Genuine interest in legal technology, automation and AI-enabled workflows
We are not looking for a technical specialist in one discipline. We need breadth, pragmatism and ownership, with the judgement to bring in specialists when the matter warrants it.
Job Benefits
- Hybrid working arrangements
- 26 days holiday (plus 8 public holidays)
- Enhanced family friendly benefits
- Private medical insurance
- Onsite gym
- A supportive and collaborative work culture
